3. Consideration & Terms

For good and valuable consideration, the Seller hereby sells and transfers the business described above to the Buyer for the sum of One hundred forty-five thousand dollars ($145,000.00), paid by bank / wire transfer.

Sold "AS-IS". The business is sold in its present condition, "AS-IS," with no warranties of any kind, express or implied. The Buyer has examined the business and accepts it in its current condition.
Additional terms. Accompanied by a separate asset purchase agreement. Lease assignment and business-license transfer handled separately.
The Seller affirms that the business is owned free and clear of all liens and encumbrances except as stated, and that the Seller has the right to sell it. This Bill of Sale is governed by the laws of the State of North Carolina.
